Edvisor.ai User Agreement

This User Agreement (“Agreement”) is a legal agreement between Tutorly Technologies Inc. d/b/a Edvisor (“Edvisor,” “we,” “us,” or “our”) and you. It governs your access to and use of the Edvisor product, including product accounts and in-product educational, administrative, and support-related interactions (collectively, the “Product”).

Please read this Agreement and the Edvisor Privacy Policy carefully. By creating an account, accessing, or using the Product, you agree to be bound by this Agreement and the Privacy Policy. If you do not agree, do not create an account or use the Product.

If you are using the Product on behalf of an educational institution, educator, department, or other organization, you represent that you have authority to do so and to bind that organization to this Agreement where applicable.

If your institution has entered into a separate master agreement, order form, or other institution-specific agreement with Edvisor that governs your use of the Product, that institution-specific agreement will control to the extent of any conflict.

1. Definitions
For purposes of this Agreement:
“Institution” means the educational institution, department, program, or organization through which you access or use the Product.
“Institution User” means a user who acts on behalf of an Institution, including professors, instructors, lecturers, teaching assistants, instructional designers, administrators, staff, and contractors authorized by an Institution.
“Student User” means a user who accesses the Product as a student, learner, or participant in an educational offering.
“User Content” means content, materials, submissions, prompts, assessments, course materials, documents, data, or other information uploaded, entered, posted, transmitted, or otherwise made available by you through the Product.
“Privacy Policy” means Edvisor’s then-current Privacy Policy.

2. Eligibility and Accounts
Edvisor is designed primarily for higher education and similar educational environments. It is not intended to be used as a general consumer product for children.

We do not knowingly market Edvisor directly to children under 13. In some cases, individuals under 18 may access the Product through an authorized educational institution, professor, or program, as permitted by applicable law.

When creating and maintaining an account, you agree to:
  • provide accurate, current, and complete information
  • keep your login credentials confidential
  • promptly update your information if it changes
  • use only one account unless Edvisor expressly permits otherwise
  • not allow another person to access the Product through your account
You may not create or use an account if Edvisor has previously suspended or terminated your access.

If you are an Institution User, you represent that you have the permissions and authority reasonably required by your Institution to use the Product in that capacity.

3. Access to the Product
Subject to this Agreement, Edvisor grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Product during the period your account or access rights remain active.

Your access may be provided in different ways, including:
  • direct purchase by you
  • purchase through a bookstore or access-key model
  • access funded or provided by your Institution
  • trial or promotional access offered by Edvisor


Your right to use the Product is limited to authorized educational and related administrative purposes and is subject to any usage limits, course limits, license terms, or other conditions communicated by Edvisor or your Institution.

4. Fees, Trials, and Payments
Some access to the Product requires payment. Fees may be paid by you directly, by your Institution on your behalf, or through a bookstore or access-key arrangement.

If Edvisor offers you a free trial, the standard trial period is 14 days, unless a different trial period is expressly stated. Trial access may be limited by features, time, or usage.

Except as required by law or expressly stated otherwise in writing by Edvisor, fees are non-refundable.

If you fail to pay applicable fees, if a payment is reversed, declined, or charged back, or if Edvisor reasonably believes a payment was unauthorized or fraudulent, Edvisor may suspend or terminate your access to the Product.

You are responsible for any taxes, duties, or similar charges associated with your purchase or use of the Product, other than taxes based on Edvisor’s net income.

5. Support and Availability
Edvisor provides support through the Product’s support chat function. Edvisor aims to respond to support inquiries within two business days, but response times are targets only and are not guaranteed service levels.

The Product may be unavailable from time to time due to maintenance, repairs, updates, outages, security events, capacity issues, third-party failures, or causes beyond Edvisor’s reasonable control. Edvisor does not guarantee uninterrupted or error-free availability.

6. User Content
You retain ownership of your User Content.

Edvisor does not claim ownership of course materials, prompts, assessments, submissions, or other User Content you upload to the Product. However, by uploading or providing User Content through the Product, you authorize Edvisor to host, store, reproduce, transmit, display, format, and otherwise process that User Content as necessary to operate the Product, provide requested features, support your use, comply with Institution instructions, protect the Product, and fulfill Edvisor’s obligations under this Agreement and the Privacy Policy.

This authorization is limited to operation of the Product and does not transfer ownership of your User Content to Edvisor.

You represent and warrant that you have all rights, permissions, and authority necessary to provide User Content to the Product and to authorize Edvisor to process it as described in this Agreement.
Edvisor may use de-identified, anonymized, aggregated, masked, or otherwise privacy-protective information derived from User Content and Product usage to operate, analyze, support, secure, and improve the Product, consistent with the Privacy Policy.

If you provide feedback, suggestions, enhancement ideas, or recommendations relating to the Product, Edvisor may use them without restriction or obligation to you.

7. Service-Generated Materials and Service Data
Edvisor retains all right, title, and interest in and to the Product, including all service-generated materials, service data, and derived materials created, generated, organized, or made available through the Product, other than User Content. This includes, without limitation, system-generated metadata, usage data, analytics, workflow data, configuration data, product-generated structures, and AI-generated or AI-assisted materials such as course readings, summaries, assessments, question sets, and similar derived educational materials generated through the Product.

For clarity, User Content remains governed by Section 6, and Edvisor does not claim ownership of User Content you upload or provide to the Product. However, Edvisor owns the Product, the underlying technology, and the service-generated and derived materials described in this Section.

Subject to your compliance with this Agreement and any applicable Institution rights or restrictions, Edvisor grants you and, where applicable, your Institution a limited, non-exclusive, non-transferable, revocable right to access, use, reproduce, display, distribute, and make reasonable internal educational reuse of service-generated and derived materials made available to you through the Product, solely for authorized educational and related administrative purposes. This includes use in connection with your courses, enrolled students, institutional instruction, and related academic operations.

This limited right does not permit you to sell, sublicense, commercialize, publish for general public distribution, or use service-generated or derived materials outside the scope of your authorized educational or institutional use of the Product, unless Edvisor separately agrees in writing.

Nothing in this Section gives you any ownership rights in the Product, in service-generated metadata or analytics, or in service-generated or derived materials created by or through the Product, except for the limited use rights expressly granted above.

8. Artificial Intelligence Features
The Product includes AI-powered functionality. AI-generated or AI-assisted outputs may be inaccurate, incomplete, outdated, biased, or otherwise imperfect and may not reflect real people, places, policies, or facts.

Edvisor uses commercially reasonable measures designed to improve the quality of AI-generated content and reduce bias, inaccuracies, and hallucinations, including validation workflows, safeguards, and human oversight processes where applicable. However, Edvisor does not guarantee that AI-generated or AI-assisted content, feedback, grading support, or other outputs will be error-free, unbiased, or suitable for every educational use.

AI functionality is part of the core design of the Product. If you choose to use AI-dependent features, you may not opt out of the underlying core AI processing required for those features to function.
Educators and authorized institutional users remain responsible for reviewing, approving, and determining how AI-generated or AI-assisted content is used in their courses. Academic, instructional, grading, and institutional decisions remain with the relevant Institution and authorized educators.

You may not use the Product to input sensitive personal information except where clearly authorized by the Product, your Institution, and applicable law.

9. Academic Integrity and Acceptable Use
You agree not to use the Product in any unlawful, unauthorized, harmful, or prohibited manner.
Without limiting the foregoing, you agree not to:
  • violate applicable law, institution policy, or academic integrity rules
  • cheat, plagiarize, impersonate another person, or assist another person in academic dishonesty
  • use the Product to complete assignments, assessments, exams, or coursework in a manner that violates your Institution’s rules
  • harass, threaten, abuse, intimidate, or defraud any person
  • upload, transmit, or store malicious code, viruses, or harmful material
  • interfere with, disrupt, or compromise the integrity, security, or performance of the Product
  • reverse engineer, decompile, disassemble, or attempt to derive source code from the Product, except to the limited extent prohibited by law
  • scrape, harvest, copy, benchmark, monitor, or analyze the Product for competitive purposes
  • build or help build a competing product or service using the Product
  • bypass, disable, or circumvent access controls, limits, or security features
  • upload or share content that is unlawful, infringing, defamatory, abusive, harmful, or otherwise violates the rights of others
  • use Edvisor trademarks, logos, or branding without Edvisor’s prior written permission

Edvisor may remove content, restrict activity, or take other action if it reasonably believes content or conduct violates this Agreement, Institution policy, applicable law, or third-party rights.

Edvisor may cooperate with Institutions regarding suspected misuse, academic integrity issues, or other conduct concerns, including by reporting suspected violations where appropriate or required.

10. Institution Controls
If you access the Product through or in connection with an Institution, you acknowledge that your Institution and its authorized users may be able to:
  • access, review, manage, remove, or control course content and certain user activity within the Product
  • manage enrollment, course settings, and user permissions
  • request suspension, deletion, or offboarding of accounts associated with the Institution
  • impose additional rules, policies, or requirements on your use of the Product

Your use of the Product may therefore be subject both to this Agreement and to applicable Institution policies, course rules, and academic requirements.

11. Intellectual Property
As between you and Edvisor, Edvisor owns all right, title, and interest in and to the Product, including the software, interfaces, workflows, design, look and feel, branding, trademarks, logos, documentation, and underlying technology, together with all related intellectual property rights.
Except for the limited rights expressly granted in this Agreement, no rights are granted to you by implication, estoppel, or otherwise.

You may not use Edvisor’s trademarks, logos, service marks, trade names, or branding without Edvisor’s prior written consent.

If you believe content or material made available through the Product infringes your intellectual property rights, contact Edvisor at shariq@edvisor.ai.

12. Privacy
Edvisor’s collection, use, disclosure, and handling of personal information are governed by the Privacy Policy.

By using the Product, you acknowledge that Edvisor may process personal information as described in the Privacy Policy.

13. Suspension and Termination
Edvisor may suspend, restrict, or terminate your access to the Product, with or without notice, if:
  • you breach this Agreement
  • you misuse the Product
  • Edvisor believes your use poses legal, security, operational, or reputational risk
  • payment is overdue, reversed, disputed, or charged back
  • your Institution requests suspension, deletion, or offboarding
  • Edvisor is required to do so by law or third-party obligation

Upon suspension or termination, your right to access and use the Product will cease immediately.
Edvisor may remove, disable access to, or delete User Content associated with a suspended or terminated account, subject to the Privacy Policy, Institution requirements, backup and archival processes, and applicable legal retention obligations.

Sections that by their nature should survive termination will survive termination, including sections relating to intellectual property, feedback, disclaimers, limitations of liability, indemnification, governing law, and notices.

14. Disclaimers
Edvisor uses commercially reasonable administrative, technical, and organizational measures designed to protect the Product and related information.

EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT OR IN A SEPARATE WRITTEN AGREEMENT SIGNED BY EDVISOR, THE PRODUCT IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDVISOR DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
EDVISOR DOES NOT WARRANT THAT THE PRODUCT WILL BE UNINTERRUPTED OR ERROR-FREE, THAT ALL DEFECTS WILL BE CORRECTED, OR THAT ANY OUTPUT, CONTENT, RESULT, OR INFORMATION MADE AVAILABLE THROUGH THE PRODUCT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR EVERY USE CASE.

NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM EDVISOR OR THROUGH THE PRODUCT, WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.

15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDVISOR AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE PRODUCT OR THIS AGREEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EDVISOR’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE PRODUCT OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO EDVISOR FOR ACCESS TO THE PRODUCT DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) TWENTY-FIVE U.S. DOLLARS (US$25).

Some jurisdictions do not allow certain disclaimers or limitations of liability, so some of the above may not apply to you.

16. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Edvisor and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, demands, actions, proceedings, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
  • your breach of this Agreement or the Privacy Policy
  • your misuse of the Product
  • your User Content
  • your violation of applicable law, Institution policy, or third-party rights


17. Notices
If you need to send a legal notice to Edvisor under this Agreement, you must send it by email to legal@edvisor.ai.

For support or general questions, contact support@edvisor.ai or use the in-product support chat.
Edvisor may provide notices to you by email to the address associated with your account. Notice will be deemed given when sent.

18. Governing Law and Disputes
This Agreement is governed by the laws of the State of Delaware, without regard to conflict of laws principles.

Subject to applicable law and any institution-specific agreement that controls, the state or federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to this Agreement or the Product, and you consent to personal jurisdiction and venue in those courts.

Before filing a formal claim, each party agrees to try in good faith to resolve the dispute informally by written notice to the other party.

19. Changes to This Agreement
Edvisor may update this Agreement from time to time. If we make material changes, we may provide notice by email. Your continued use of the Product after the updated Agreement becomes effective constitutes your acceptance of the updated Agreement.

If you do not agree to a revised Agreement, you must stop using the Product.

20. General Terms
If any provision of this Agreement is held unenforceable, that provision will be limited to the minimum extent necessary and the remainder of the Agreement will remain in effect.

Edvisor’s failure to enforce any provision of this Agreement is not a waiver of its right to do so later.

This Agreement, together with the Privacy Policy and any applicable institution-specific agreement, constitutes the entire agreement between you and Edvisor regarding the Product and supersedes prior or contemporaneous understandings on that subject.
